A mоm & pоp cоffee shop violаted а zoning ordinаnce in the City and County of Honolulu because they built an unpermitted drive-through structure in a residential-zoned neighborhood.  The C&C Honolulu’s Department of Permitting and Planning is going to start fining the coffee shop $500/day.  Their coffee shop has been in operation for over 50 years and the existing use was grandfathered in since no commercial use, like coffee shops, are currently allowed in a residential-zoned neighborhood.  But with Starbucks, McDonald’s, Teaspresso and other coffee shop competitors within ½ mile radius, the only way for the mom & pop coffee shop to survive and stay competitive was to build a drive-through.  A fine of $500/day will drive them out of business.   Mom & pop coffee shop hire you as their attorney. What can you do to save the mom & pop coffee shop? 

Seller аnd Buyer Eikо execute а purchаse cоntract with an “AS-IS” Addendum fоr a home that is part of the Wailuna Community Association.  Buyer Eiko was a first-time homebuyer and is getting a loan for $800,000.  She delivered an initial deposit of $5,000 to escrow.  During the J-1 Home Inspection Contingency Timeline, the home inspector found the following issues with the property Major structural issues where there are settlement (cracking) of the concrete foundation Cracked plumbing line in the house Significant electrical issues                          Buyer’s agent informed Buyer Eiko that because she signed the “AS IS” Condition Addendum, she was purchasing the property as-is, and that she was prohibited from asking for any credits or repairs from Seller.  Although Buyer Eiko had until 11:59pm of March 5 to cancel the transaction, Buyer’s agent encouraged her to move forward with the transaction so Buyer Eiko delivered the additional $5,000 deposit to escrow.  During the termite inspection under L-2 of the purchase contract, the inspector found visible evidence of active termites throughout the home. Seller refuses to hire a tenting company to fumigate the home and the buyer’s agent is informed        At this point, Buyer Eiko starts to get cold feet and wants to cancel.  Buyer’s agent has not closed any transaction in 6 months and is desperate to make this sale whatever it takes (but has not expressed this to her client).  Buyer’s agent decides to pay for the $2,500 fumigation cost for Seller (without Buyer Eiko’s knowledge) so that her own client cannot cancel based on the L-2 termite provision.  Under L-2, Seller is required to fumigate the home if any active termite is found.     The termite fumigation is completed to satisfy L-2 of the contract.  On the same date that the fumigation is completed, Wailuna Community Association delivers the association documents to the parties.  Buyer’s agent informs Buyer Eiko that she must close the transaction at this point, and there is no way for her to cancel and get her deposit back.  Buyer Eiko feels uneasy about her agent’s motives and hires an attorney - YOU!   What grounds, if any, could Eiko use to cancel the contract and recover her $10,000 deposit? For each ground, address the applicable notice and deadline requirements. Identify any additional facts or contract terms you would need to reach a conclusion.
