Jаmes cоntrаcts with Stephаnie fоr Stephanie tо provide durable medical equipment for James’ private medical practice. James orders 10 manual wheelchairs, which he can lease or sell to patients and be reimbursed by Medicare. He pays $500 per wheelchair, for a total of $5000, payable upon delivery which is scheduled for 5 days later. After signing the contract, Stephanie realized that she only had 4 manual wheelchairs remaining in her inventory and due to manufacturer shortages would be unable to obtain more for at least 3 months. Five days later, at the contractually arranged time for delivery, Stephanie delivered the 4 manual wheelchairs and 6 motorized wheelchairs. The motorized wheelchairs retail for $1000, but since it was her mistake Stephanie tells James she’ll only charge him $500 each, the same as the manual wheelchairs. In doing so she’s hoping to keep James’ business. James is disappointed that only 4 manual wheelchairs are available, and tells Stephanie that he’ll purchase those but not the electric wheelchairs since his patients would likely be unable to transport them as easily (they’re much heavier and not collapsable). He begins writing Stephanie a check for $2000, and mumbles that he needs to find a new supplier. Stephanie becomes angry, refuses to take payment for the 4 manual wheelchairs, and starts to load all the wheelchairs back into her truck. James then becomes mad that she won’t sell him even the manual wheelchairs, which are needed by some of his patients. Following the angry expletives of both James and Stephanie, Stephanie files a complaint for breach of contract. James files an answer to the complaint, denying that he breached the contract and counter-claimed that Stephanie breached the contract. What are the elements for a valid contract, and how does the agreement satisfy these elements or not? Which party, James or Stephanie, is most likely to prevail in their breach of contract claim, what might the damages be, and is there a way that the prevailing party might have limited their damages?
