Smith is аn аutо mechаnic whо оwns an auto repair shop. He gets most of his new replacement parts from Union Auto. Jones, one of Union's Sales Representatives, approaches Smith one day with a proposal: If Smith agrees to also purchase "lightly used" replacement parts from Union, Jones will give him a 20% discount on all new and used replacement parts. Smith says (hoping to get a bigger discount), "I'll check around and let you know. I haven't heard very good things about your used parts." Smith continues purchasing his new replacement parts from Union but, two weeks after Jones' proposal, also starts purchasing used replacement parts from Union. At month's end he is surprised to discover there is no discount on his bill. When he contacts Union, he is told Union has no idea what he is talking about. 1. Using IRAC, analyze whether Smith and Union have a legally valid contract. Make sure to include the required elements of a contract and whether each has been met. 2. Address what role Jones has - if any - in this issue, any defenses Union might raise related to his role, and counterclaims Smith might assert.
