The contract required that Great Grains deliver 800 bushels of corn within a window of time from August 1 to August 3 to later be specified by Corn Express. Prior to delivery, Corn Express sells the grain (that it had not yet received) to a third-party company, Brand X, and Corn Express tells Great Grains to deliver the 800 bushels of corn to Brand X on August 2. Great Grains acknowledged that it was to deliver on August 2 to Brand X and that time was of the essence. It later failed to make the delivery to Brand X on August 2, but tried to deliver on August 3 instead. Brand X had already covered by August 3 by buying grain from somebody else, and this caused Corn Express to cancel the contract to buy 800 bushels of corn from Great Grains. Was Corn Express within its rights under the UCC in terminating the contract to buy corn from Great Grains?
